Corporate Governance Officer

The company’s board of directors passed a resolution on August 4th, 2021 to have a Corporate Governance Officer, and appointed Benny Chiu, CFO to be responsible for the corporate governance related affairs. Benny has served as the head of the Finance and Accounting Center for more than three years, which meet the requirement of a qualified corporate governance officer.

The scope of duties and responsibilities

• Handling matters related to meetings of the Board of Directors and shareholders’ meetings in accordance with the law.
• Producing minutes of Board of Directors meetings and shareholders’ meetings.
• Assist directors in taking their positions and engaging in professional training.
• Provide directors with the information required for business implementation.
• Assisting directors in complying with laws and regulations.
• Report to the Board of Directors on whether the qualification of independent directors at the time of nomination, election, and term of office complies with relevant laws and regulations.
• Handle matters related to the change of directors.
• Other matters stipulated in accordance with the Company’s Articles of Incorporation or contracts and so on.
